Gmaven Leasing App Terms of Service

These are the terms for the Gmaven commercial-property leasing app, which you access through a third-party AI assistant platform. They are specific to that app and are distinct from the site-wide Website Terms of Use. Please read them with the Leasing App Privacy Policy. You can see all our legal documents on the Legal page.

1. Who we are

This app is operated by Gmaven (Pty) Ltd ("Gmaven", "we", "us", "our"):

This section provides the supplier information required for an electronic transaction in South Africa.

2. Agreement to these terms

By using the Gmaven leasing app, you agree to these Terms of Service. If you do not agree, please do not use the app. We may update these terms; the current version and its date appear at the top, and continued use after a change means you accept the updated terms.

3. What the app does, and what it is not

The app helps you search available commercial properties and, if you choose, submit an enquiry. At your election, we pass the enquiry either to the relevant property owner (or their nominated leasing contact) or to a commercial property broker, so that they can respond to you.

Gmaven is not, and does not hold itself out to be:

  • a property practitioner as defined in the Property Practitioners Act, 2019 (or any predecessor or replacement legislation, including the Estate Agency Affairs Act, 1976), or an estate agent generally; or
  • a property owner, landlord, property manager, attorney, conveyancer, financial or tax adviser, or valuer.

Gmaven has no power, as agent or otherwise, to negotiate or conclude any agreement on your behalf, and no such power may be inferred. Our role is limited to providing information and, at your request, making an introduction. Any lease, negotiation, or agreement is between you and the property owner or their representative. You remain responsible for your own dealings. You are strongly encouraged to verify all details independently and to obtain advice from a suitably qualified professional before committing to anything. You use the app at your own risk.

4. Who may use the app

The app is intended for business and commercial-property purposes. Its content is suitable for a general audience and it is not directed at children. There is no charge to you for searching or submitting an enquiry. By submitting an enquiry, you confirm that you have the legal capacity to do so and that you are using the app for genuine commercial-property purposes.

5. Accessing the app through a third-party platform

You access the app through a third-party AI assistant platform. Your use of that platform is governed by the platform's own terms and privacy policy, which are separate from ours and over which we have no control. When you first connect the app, the platform may ask you to confirm what information will be shared with us. These terms govern your use of the Gmaven app and its content only. We do not process payments through the app or the platform.

6. No warranty on listings

Property availability, rentals, sizes, and other details are provided from sources that include property owners, and may change or contain errors. We make reasonable efforts towards accuracy but we do not warrant that any listing is current, complete, or free of error. You should verify all details directly with the property owner or their representative before acting or committing to anything.

7. Enquiries and introductions

When you submit an enquiry, you ask us to pass the details you provide to the relevant property owner (or their nominee) or a commercial property broker, and you consent to us doing so. Any dealings after that introduction are between you and that party. We are not responsible for that party's conduct, for their response or lack of response, or for how they handle your information once they have received it.

8. Your responsibilities and acceptable use

You agree to:

  • provide accurate and current information in your search and any enquiry;
  • use the app lawfully and only for genuine commercial-property purposes; and
  • not misuse the app.

You must not, without our prior written permission:

  • scrape, copy, harvest, or systematically extract the listings, the underlying database, or any bulk content;
  • use any robot, spider, or other automated means to access, monitor, or copy the app beyond ordinary interactive use;
  • introduce any virus or harmful code, or otherwise interfere with the proper working of the app or the platform;
  • impose an unreasonable or disproportionate load on the app or its infrastructure;
  • attempt to gain unauthorised access to, or probe or test the security of, the app, the platform, or related systems; or
  • use the app or its content to build or train a competing product, dataset, or service.

9. Intellectual property and database rights

The app, its content, and the underlying Gmaven data, data structure, compilation, and methodology are owned by Gmaven or its licensors and are protected by law, including copyright and database and compilation rights. We grant you a limited, personal, non-exclusive, non-transferable right to use the app as intended. No other rights are granted. All rights not expressly granted are reserved.

10. Service provided "as is"

The app is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not give any warranty that the app will be uninterrupted, error-free, secure, or available at any particular time, and we may change, suspend, or withdraw all or part of it.

11. Limitation of liability

To the maximum extent permitted by law, Gmaven is not liable for any loss or damage of any nature, whether direct, indirect, incidental, special, punitive, or consequential, including any loss of profit, revenue, data, or opportunity, arising out of or in connection with your use of, or inability to use, the app, or your reliance on any listing or information in it, whether based on contract, delict, or any other basis. Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited.

12. Indemnity

You agree to indemnify and hold Gmaven harmless against any claim, loss, or expense arising from your breach of these terms or your unlawful or improper use of the app, to the extent permitted by law.

13. Suspension and termination

We may suspend or end your access to the app, in whole or in part, if you breach these terms or use the app unlawfully or improperly, or where we reasonably need to for operational, legal, or security reasons.

14. Governing law and disputes

These terms are governed by the laws of the Republic of South Africa.

Any dispute arising from these terms or from your use of the app will be referred to and finally resolved by arbitration, conducted in English in Pietermaritzburg under the rules of the Arbitration Foundation of Southern Africa (AFSA). The unsuccessful party will bear the costs of the arbitration.

15. General

If any provision of these terms is found to be unenforceable, the rest remain in force. Our failure to enforce any right is not a waiver of it. These terms, together with the Privacy Policy, are the whole agreement between you and us about your use of the app.
